Opportunities Update - September 2013

Here's our latest Opportunities Update. In it we preview upcoming Opportunities and update you on current projects.

Ocula

The global fine art market is currently worth around US$60 billion a year. Ocula provides an online internet portal for art collectors to view offerings from a wide range of carefully selected galleries. It also operates an online art auction platform under the Ocula Black brand.  The business has a global reach, with particular emphasis on the developing Asian market. Ocula’s directors are recognised experts in the international art market.  They have a proven background in retail, auction and online sales, including family art dealing history dating back over 140 years.

The online platform is now operational, with 135 dealer galleries currently represented. Ocula plans to increase this to 500 - 600.  It also plans to grow the Ocula Black business in New Zealand and particularly Australia - where virtually all auction sales are still transacted physically rather than online.  Even a 5% share of the AU$150 million Australian market would produce annual revenue of around NZ$2 million. 

Other revenue sources include the ability to license Ocula’s portal software to third parties, and fees from brokering private treaty sales of high value artworks.

The business is seeking one or more strategic investors to work with the directors in bringing it to its full potential. The ideal investor is likely to have existing knowledge and experience of the technology and ecommerce sectors, and/or a keen interest in the fine art market.

Personal Alarm Systems

Our client manufactures automatic ‘Man Down’ Safety Systems for people working alone – anywhere in or out of buildings. It can use land line, GPS cellular, VHF radio and two way satellite communications.

These systems have 24/7 monitoring and can locate people inside buildings in emergency situations. They include all aspects of home/worker/hospital patient management systems which have been uniquely integrated into other mediums, such as radio and hybrid satellite/cellular systems.

Personal Alarm Systems has been providing safety solutions for a number of New Zealand companies for around three years. Clients include Hutt Valley Water Devices, PolarCold (5 Christchurch and Timaru coolstores), Tauranga City Council, DHL Courier Post, Howick Community Patrols and Waipuna Hospice.

Early this year they replaced the Waipuna Hospice hospital patient management system and are doubling that system when the hospice finishes building their new wards. Their community nurses have been using our client’s GPS system for about four years.

Personal Alarms Systems is the only safety system to pass New Zealand Dept of Corrections GPS safety pre-trials and be recommended for full trials throughout New Zealand.

They have also passed a number of trials with different companies and are in various stages of either waiting for trials, trialling or in contract negotiations, for some of New Zealand’s largest companies. The business is now receiving interest to market their integrated systems internationally.

Personal Alarms Systems consists solely of the founder/inventor of the systems. He is now seeking an active business partner who would take a cornerstone shareholding in the business and provide the expertise and capital required to allow the business to reach its full potential.

Freeflow Pipes

Our client has patented a method of manufacturing downpipes for houses that revolutionises the cost of installation, the number required, and the efficiency in which they operate by doubling the flow rate and eliminating turbulence.

At a time when the housing market is demanding more houses be built and cost savings in housing construction, and when building regulations and tolerances are being tightened to prevent leaky homes, Freeflow Pipes have a product that is more efficient and more cost-effective than anything else on the market.

These patented pipes have three times the life of PVC or Colour Steel, are stronger, take considerably more flow, are one piece - no joins, no leaks - can be pressurised, come in 130 colours, and  have a powder coated decorative surface which is more impact and scratch resistant.

The business has now secured a large share of the home building market through housing companies like G.J. Gardner Homes, Golden Homes, Classic Homes, Platinum Homes, Signature Homes, Stonewood Homes, Jennian Homes and Lockwood Homes.
It has also entered into an agreement with Roofing Industries to supply the Freeflow pipes through their supply chain outlets.

Our client is looking for investors, preferably a cornerstone shareholder, to join the founding shareholders and provide the working capital to consolidate the business here in New Zealand and launch this proven and patented product into the Australian market.

Up to $1,500,000 is being sought in the form of Convertible Notes paying 8% interest p.a. The holder of the Notes has the option to convert the Notes to ordinary shares in the company in 3 years time. The Notes will convert on a ratio determined by an independent valuation of the business at that time. Alternatively the holder could choose to be repaid in full.

This is a business that not only has huge  potential here but also in Australia where the market is more suited to the mass production of building components and is 5 times the size of the market here.

HeyRex

Heyrex is a New Zealand company that has come up with a revolution in Animal Welfare. It has invented a really clever way to monitor a dog’s (and in the future other pets’) health and wellbeing - even when the owners are away from home.  This is obviously great for pet owners who are concerned about their animals in their absence. With significant founding shareholder investment to date, the company is now launching its products internationally and is seeking $1.25 million in return for 25% shareholding.  Since going to market, nearly $700,000 of the $1.25 million has been committed.

iTravelNZ

iTravelNZ – New Zealand in your pocket – is already rated “the most comprehensive smart phone travel guide for Aotearoa” in a recent “The best free travel apps” article in the New Zealand Herald and independently rated as the best travel app in NZ by 10TravelAss.com. It has already achieved over 28,000 downloads by international tourists and local travellers. The domestic market represents 30% of the total and provides a solid base.

iTravelNZ is integrated with universal apps such as TomTom, Waze and NavFree, and has booking affiliations with major brands including TraveBug (TradeMe), Booking.com, Hotesl.com, Airbnb.com, HostelWorold.com, and Viator.com.

This is a mobile travel guide like no other in New Zealand, or anywhere for that matter. It is an application for smart phones, and computers that specialises in combining travellers’ wants and tourism and hospitality business needs. Discussions are under way with NZ government departments who have given their support and are currently considering financial and technical assistance. 

The business obtains revenue from 2 main sources, Business subscriptions and Booking revenue from hotels and activities.

Our client has reached the point where the demand is so great he must set up a sales team to obtain business subscriptions from more tourist operators and market iTravelNZ’s presence in key travel locations.

The founder is ideally seeking a business partner and cornerstone shareholder who would take a substantial stake in the business and provide expertise and capital for iTravelNZ to consolidate its leading position in the industry here. One familiar with sales and marketing would be preferred. 

Because the potential partner may be able to provide some of the services required, the amount of capital being sought is flexible, but it would be in the order of $500,000.
