It’s been an excellent summer and now that New Zealand finally seems to be back at work, TBK Capital will be hosting a presentation for investors and their advisers in Auckland from 4:30 – 6:30 pm on Tuesday 17 February 2015.
We have kindly been given the use of the modern function room used by the NZX and Link Market Services Limited at Level 7, Zurich House, 21 Queen Street, Auckland. The venue holds 40 people. The seminar will be opened by Tim Rentzios, Manager - Cash Markets for NZX.
Corporate lawyer, Sean Joyce will be discussing the 1st December 2014 change in the regulations relating to offering investment opportunities without a product disclosure statement (previously called a prospectus under the old regime). These changes widen the definition of a “wholesale” investor and accordingly the range of persons who can participate. See our summary of the changes here.
Sean is the principal of Corporate Counsel, a corporate law firm based in Auckland which specialises in the corporate/commercial sector with a particular focus on the capital markets and securities laws – regulatory compliance, fund raising and offerings of various types of securities in New Zealand.
Following Sean’s presentation, senior members of the organisations with selected offers promoted by TBK Capital, will showcase their businesses seeking capital.
Each person will give a 10 minute presentation with 5 -10 minutes for questions. At the end of the presentations refreshments will be served during which attendees can talk informally with the presenters and their representatives.
The projects being presented will include the following:
- Ambrose Group. CEO Ryan Kamins will update progress with offshore distributors to date. Ryan has been invited to speak about their Paleo business at the New Zealand India Business Summit to be held in Auckland on 13 March.
- Imersia. Pre-offshore capital raise completed. Hear about their work with City of Auckland and progress towards the next capital raise.
- iSee Digital. iSee Digital is New Zealand’s single largest “Cross Vertical” Digital Out Of Home advertising provider in New Zealand with over 250 screens. They have developed unique cloud based ad management software to effortlessly place advertising campaigns on the network using tools and programs fully developed in-house and 100% owned by the company.
- YesShop. Founded in 2013, YesShop is NZ’s fastest-growing home shopping channel broadcasting 24/7 on Channel 23 on SkyTV and on Channel 21 on Freeview. CEO Paul Ding will explain how he and his team of 50 talented people are building New Zealand’s most exciting new retail channel, and how YesShop attracts customers to its website, mobile site, and to its 0800 number.
This function is a must for investors interested in private capital raising offers that are not subject to the Financial Markets Conduct Act 2013 and who can therefore participate as “wholesale” investors. Such offers are an essential part of the capital markets here as a precursor to more public raisings such as crowdfunding and IPOs.
